Effective Date: June 30, 2024

This Mentorship Agreement (“Agreement”) is set between mentors and Toptoria, a platform, operated by MetaSense Enterprise Solutions (“Platform”).

By participating as a mentor on our Platform, you agree to the terms outlined in this Agreement.

1. Role and Responsibilities

As a mentor on Toptoria, you act as an independent vendor. You are responsible for creating and providing business-related content aimed at helping entrepreneurs and business owners succeed. The Platform serves as a facilitator and does not act as your employer, client, or contractor.

2. Income Declaration

It is your responsibility to ensure that your income from the Platform is properly declared in your home country. The Platform does not provide tax advice and is not liable for your tax obligations.

3. Commission

The Platform receives a 30% commission on sales generated by mentors.

4. Taxes

All payments are subject to applicable government taxes. You are responsible for understanding and fulfilling your tax obligations related to income earned through the Platform.

5. General Prohibitions

As a mentor, you agree not to:

• Engage in any illegal or fraudulent activities.
• Misrepresent your qualifications or expertise.
• Share confidential or proprietary information without permission.
• Violate any applicable laws or regulations.

6. Indemnity

You agree to indemnify and hold harmless MetaSense Enterprise Solutions, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to your breach of this Agreement, your use of the Platform, or your violation of any rights of another.

7. Limitation of Liability

In no event shall MetaSense Enterprise Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from

(i) your use of or inability to use the Platform; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Platform; (iv) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Platform by any third party; and/or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform.

By participating as a mentor on Toptoria, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
